These Terms of Service govern your use of TruClario, a B2B vendor review platform operated in India. By creating an account or submitting a review you agree to these terms. Please read them carefully before using the platform.

TruClario operates as an intermediary under Section 79 of the Information Technology Act 2000. We provide a platform for vendors to share their professional experiences. We do not create the content published on the platform and are not responsible for the accuracy of vendor reviews.

1. Who Can Use the Platform

You may use TruClario if you are:

✓A vendor, contractor, freelancer, or independent consultant who has worked with an enterprise company in a professional capacity

✓At least 18 years of age

✓Using the platform for legitimate professional purposes

You may not use the platform to submit reviews about companies you have not worked with directly, to submit reviews on behalf of another person, or for any purpose that violates these terms or applicable Indian law.

2. Your Account

You are responsible for maintaining the security of your account. You must not share your one-time password or allow others to access your account. You are responsible for all activity that occurs under your account.

Each email address may be associated with only one account. Each account may submit only one review per company. Creating multiple accounts to submit additional reviews is a violation of these terms and may result in all your reviews being removed.

3. Review Rules and Responsibilities

3.1 Your legal responsibility

You are legally responsible for the content of every review you submit. By submitting a review you confirm that:

•The review is based on your genuine personal professional experience with the company

•All factual statements in the review are true and accurate to the best of your knowledge

•The review does not contain false statements of fact that could harm the company's reputation

•The review does not contain confidential or privileged information

•The review does not name or identify specific individuals by name

•You understand you may be held legally liable for false or defamatory statements

3.2 What is not allowed

The following content is not permitted on TruClario:

×False statements of fact presented as true

×Personal attacks on named individuals

×Confidential business information or trade secrets

×Content submitted on behalf of a competitor to harm a company

×Content submitted by or on behalf of the company being reviewed

×Threats, harassment, or abusive language

×Content that violates any applicable Indian law

3.3 Editing and deletion

You may edit your review within 48 hours of submission. After 48 hours the review is locked and cannot be edited. You may request removal of your review by deleting your account. Reviews removed as part of account deletion remain on the platform in anonymous form.

4. Platform Rights and Moderation

TruClario reserves the right to:

•Moderate all reviews before they go live on the platform

•Remove or hide reviews that violate these terms or our Review Guidelines

•Suspend or terminate accounts that repeatedly violate these terms

•Comply with valid court orders or government requests regarding specific reviews

We will notify you by email before taking any action on your review or account where possible. You have the right to appeal any moderation decision within 14 days by contacting our Grievance Officer.

5. Content Ownership

You retain ownership of the content you submit. By submitting a review you grant TruClario a non-exclusive, royalty-free, perpetual licence to display, distribute, and use the content on the platform and in aggregated data products.

TruClario owns all rights to the platform design, software, brand, and aggregated data. You may not copy, reproduce, or distribute any part of the platform without our written permission.

6. Limitation of Liability

TruClario is an intermediary platform. We are not liable for:

•The accuracy or truthfulness of any review submitted by a vendor

•Any business decisions made based on reviews published on the platform

•Any damages arising from your use of or inability to use the platform

•Any loss of data, revenue, or reputation resulting from reviews published about your company

Our total liability to you for any claim arising from your use of the platform shall not exceed the amount you have paid to us in the 12 months preceding the claim.

7. Governing Law and Disputes

These terms are governed by the laws of India. Any disputes arising from these terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of India.

Before initiating legal proceedings you agree to first contact our Grievance Officer and allow 30 days for resolution.

8. Changes to These Terms

We may update these Terms of Service from time to time. We will notify registered users of material changes by email at least 14 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
